These Terms apply to the public ModelPriceLab website, accounts, data tools, subscriptions, and any separately invited Founder Pilot. A Founder Pilot may have a written scope or order form; if it conflicts with these Terms, the written pilot terms control for that pilot.
本条款适用于 ModelPriceLab 公共网站、账户、数据工具、订阅方案，以及单独受邀的 Founder Pilot。Founder Pilot 可能另有书面范围说明或订单；如与本条款冲突，以该试点的书面约定为准。
1. Agreement and Eligibility / 接受条款与使用资格
Operator notice: the legal name, registered address, governing law, venue, tax identity, and contracting authority for ModelPriceLab have not yet been published on this site. Until those details appear in a written pilot order signed by both sides, the public website does not offer a binding paid Founder Pilot contract or accept payment.
运营主体提示：ModelPriceLab 的法定名称、注册地址、适用法律、争议管辖、税务身份及签约授权主体尚未在本网站公开。 在双方签署、且包含上述信息的试点订单出现前，公共网站不提供具有约束力的付费 Founder Pilot 合同，也不接受付款。
By using ModelPriceLab, you agree to these Terms and represent that you have authority to accept them for yourself or your organization. If you do not agree, do not use the service or submit data. You must comply with applicable laws and any rules of the data providers you use.
使用 ModelPriceLab 即表示您同意本条款，并确认有权代表自己或所在组织接受条款。如不同意，请勿使用服务或提交数据。您还应遵守适用法律和数据提供方规则。
2. Subscription Plans and Commercial Licensing / 订阅方案与商业使用授权
ModelPriceLab offers tiered access for software engineering teams, architects, and researchers. Commercial use of data and platform capabilities is governed by your active account plan:

- Free Tier / 基础版： Permitted for personal research, internal testing, and manual evaluation. You may view public rates, community signal rankings, and recent change logs on the website. Automated scraping and bulk export are not permitted.
允许用于个人研究、内部评估和手动查价。可在网站浏览公开挂牌价、决策信号榜单和近期变更日志。禁止自动化抓取与批量导出。 - Pro Tier / 专业版 ($8/mo 或 $72/yr)： Grants internal commercial use for your business organization. Subscribers may download full CSV/JSON datasets for internal cost modeling, access detailed MigrationCards, utilize the comprehensive budget calculator, and receive automated change alerts. Public resale, white-labeling, or re-syndication of exported data is strictly prohibited.
授予企业组织内部的商业使用权。订阅者可导出完整的 CSV/JSON 数据用于内部成本核算与审计、查看详细 MigrationCard 迁移卡片、使用完整用量测算器并接收自动化邮件预警。严禁对导出数据进行公开转售、贴牌或二次分发。 - Developer Tier (Team) / 开发者版 ($39/mo 或 $348/yr)： In addition to Pro benefits, grants programmatic commercial access to wire live pricing and changelogs directly into your internal infrastructure, model gateways, and CI/CD pipelines via Data API (up to 10,000 requests/day) and real-time Webhooks. Creating public mirrors, competing directory services, or sublicensing API access to third parties is strictly prohibited.
在 Pro 权益基础上，授予程序化商业使用权：可通过 Data API（每日最高 10,000 次请求）与实时 Webhook 将最新价格和变更数据直接打通至企业内部工程管线、模型路由网关与 CI/CD 流程。严禁搭建公开数据镜像、竞品目录服务或向第三方转售 API 额度。 - Enterprise Tier / 企业版： Tailored scope, custom Data API quotas, empirical migration workload reviews, dedicated Slack channels, and agreed-upon SLAs under a formal written order form.
通过正式书面订单提供定制范围、专属 Data API 配额、基于真实脱敏样本的确定性迁移验证报告、专人支持与书面 SLA 保证。
3. Founder Pilot / 创始人试点
Founder Pilots are not public self-service purchases. A free qualification call only determines possible fit and does not include a complete analysis, evaluation, migration plan, or guarantee of acceptance. If both sides wish to proceed, we will provide written terms before requesting payment or business samples.
Founder Pilot 不是公开自助购买商品。免费资格判断仅用于确认是否适合，不包含完整分析、评测、迁移方案，也不保证一定接受试点。双方愿意继续时，我们会在要求付款或接收业务样本前提供书面约定。
The application accepts only a non-sensitive summary, such as a high-level workload, trigger category, approximate spend range, provider or model names, data readiness, and target thresholds. Do not paste or attach invoices, logs, prompts, outputs, business samples, personal data, credentials, secrets, or internal URLs.
申请表仅接收非敏感摘要，例如高层 Workload、触发类型、粗略支出区间、模型或供应商名称、数据准备度及目标门槛。请勿粘贴或附加账单、日志、prompt、output、业务样本、个人信息、凭证、密钥或内部 URL。
The written pilot confirmation should identify:
试点书面确认应包括：
- scope, deliverables, exclusions, timing, acceptance responsibilities, and fees / 范围、交付物、排除项、时间、验收责任与费用；
- customer data, authorized purpose, transfer method, third-party processors, retention, and deletion / 客户数据、授权用途、传输方式、第三方处理方、保留与删除；
- cancellation, scope changes, refunds, disputes, and responsibility for model-provider charges / 取消、范围变化、退款、争议及模型调用费用责任；
- the person authorized to approve, reject, or pause a model change / 有权批准、拒绝或暂停模型变更的负责人。
After both sides confirm the written scope and data terms, a ModelPriceLab operator with a current, revocable Pilot staff authorization must open a referenced data request. Evidence may be submitted only while that request permits it and only by the case owner or authorized Pilot staff. General admin, editor, or superadmin roles do not themselves grant Pilot data access.
双方确认书面范围和数据条款后，必须由持有当前有效、可撤销 Pilot staff 专用授权的 ModelPriceLab 操作人员开启带引用编号的 data request。仅在该请求允许接收数据时，Case 申请人或授权 Pilot staff 才可提交 evidence；通用 admin、editor 或 superadmin 角色本身不授予 Pilot 数据访问权。
4. Customer Data Responsibilities / 客户数据责任
You retain your rights in data you provide. You represent that you have the rights and permissions needed to provide it for the agreed purpose. Before submission, minimize and de-identify business samples and remove credentials, secrets, unnecessary personal data, payment-card data, health data, government identifiers, and other highly sensitive information unless the written pilot terms expressly allow it.
您保留所提供数据的权利，并确认有权将其用于双方约定的目的。提交前应最小化和脱敏业务样本，并移除凭证、密钥、不必要的个人信息、支付卡数据、健康信息、政府身份标识及其他高度敏感信息，除非试点书面约定明确允许。
Do not upload pilot data through a channel that has not been agreed in writing. Our handling of pilot data is also described in the Privacy Policy.

5. Fees, Cancellation, and Refunds / 费用、取消与退款
A Founder Pilot is a one-time professional service unless its written terms say otherwise. Its fee is set in the written confirmation and may reflect data preparation, model-provider charges, manual review, and scope. It is not automatically refundable merely because the evidence recommends against a migration or expected savings are not achieved.
除非书面约定另有说明，Founder Pilot 是一次性专业服务。费用在书面确认中确定，可能包括数据整理、模型调用、人工复核和范围成本。若证据结论是不建议迁移，或预期节省未实现，并不当然触发退款。
For recurring subscription tiers (Pro, Developer), renewals occur automatically on a monthly or yearly cycle according to your selection. You may cancel renewal at any time via the billing management portal. Access continues until the end of the current paid billing period.
对于周期性订阅方案（Pro、Developer），按您选择的月付或年付周期自动续订。您可以随时在账单管理控制台中取消自动续订，付费权益将持续有效至当前周期的截止日期。
6. Advisory Nature; No Guaranteed Outcome / 决策辅助性质与不保证结果
ModelPriceLab provides decision-support information, not legal, tax, financial, security, compliance, or production-operation advice. Public prices and change records may be incomplete or stale. Estimates depend on the data and assumptions supplied. A cheaper model is not necessarily quality-equivalent. You must verify official vendor terms, evaluate on your own workloads, and approve any production change.
ModelPriceLab 提供决策辅助信息，不构成法律、税务、财务、安全、合规或生产运维建议。公开价格和变更记录可能不完整或过时；估算取决于客户提供的数据和假设；更便宜不代表质量等价。您应核验厂商官方条款、在自己的工作负载上评测，并自行批准任何生产变更。
We do not guarantee cost savings, model quality, latency, uptime, regulatory compliance, successful migration, or uninterrupted availability.
我们不保证成本节省、模型质量、延迟、可用性、法规合规、迁移成功或服务不中断。
7. Acceptable Use / 可接受使用
You may not:

- violate law, third-party rights, or provider terms / 违反法律、第三方权利或供应商条款；
- submit data without authorization or conceal malicious code or credentials / 未经授权提交数据，或夹带恶意代码、凭证；
- circumvent access controls, probe vulnerabilities, or disrupt the service / 绕过访问控制、探测漏洞或干扰服务；
- scrape at scale, resell restricted data, or remove attribution contrary to an applicable license / 违反适用许可大规模抓取、转售受限数据或移除署名；
- present ModelPriceLab estimates as a guarantee or official vendor statement / 将 ModelPriceLab 估算表述为保证或厂商官方结论。
8. Intellectual Property and Sources / 知识产权与数据来源
ModelPriceLab and its original software, presentation, and analysis are protected by applicable rights. Third-party names, logos, data, and benchmark references remain property of their respective owners. We link to original sources where practical. Contact us if you believe content infringes your rights.
ModelPriceLab 的原创软件、呈现和分析受适用权利保护。第三方名称、商标、数据和评测引用仍为其各自所有者的财产。我们会在可行时链接原始来源；如您认为内容侵权，请联系我们。
9. Suspension, Changes, and Notification / 暂停、条款变更与通知
We may update these Terms to reflect product improvements, new service tiers, or regulatory requirements. Material revisions will be posted on this page with an updated timestamp, and notice will be provided via site banner or email to active paid subscribers at least 14 days before taking effect.
为反映产品升级、新服务方案或合规要求，我们可能会修订本服务条款。重大修订将在此页面发布并更新生效日期，并在生效前至少 14 天通过网站公告或电子邮件向有效付费订阅用户发送通知。
10. Procurement & Legal FAQ / 企业采购与法务常见问答
企业工程团队是否可以将 ModelPriceLab 数据用于内部商业决策？
A: Yes. Paid Pro and Developer accounts grant internal commercial use rights to evaluate models, calculate token budgets, and guide production architectural choices for your own products.
是的。付费 Pro 和 Developer 账户明确授予企业内部商业使用权，支持评估模型、核算 Token 预算并指导自有产品的生产架构选型。
ModelPriceLab 是否会存储或拿客户私有 Prompt 进行模型训练？
A: No. The public platform does not require, accept, or store internal business prompts or confidential logs. For invited Founder Pilots, data handling is strictly bounded by written terms with explicit de-identification and deletion guarantees.
不会。公开平台不要求、不接收也不存储客户私有业务 Prompt 或保密日志。对于受邀 Founder Pilot 试点，数据处理受双方书面协议严格约束，并提供脱敏处理与确定性销毁保障。
我们是否可以导出价格数据表用于财务审计与采购预算汇报？
A: Yes. Pro and Developer subscribers can export full, unconstrained CSV and JSON tables anytime for internal financial review and budget auditing.
